Terms of Service

Please read these Terms of Service carefully before using any services provided by Djooky Finance Limited. By accessing or using our platform, you agree to be bound by these terms.

Section 1

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Client," "you") and Djooky Finance Limited ("Djooky Finance," "we," "us," "our"), a company incorporated under the laws of British Columbia, Canada (BC1535602), registered as a Money Services Business with FINTRAC (Registration No. C100000967).

By creating an account, accessing our website, or using any of our services, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our AML & Compliance Policy. These documents together form the complete agreement between you and Djooky Finance.

If you do not agree to these Terms, you must not use our services. Your continued use of our platform after any amendments to these Terms constitutes your acceptance of the revised Terms.

Section 2

Eligibility

To use Djooky Finance services, you must meet all of the following requirements:

  • Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater)
  • Be a natural person, corporation, or other legal entity with legal capacity to enter into binding contracts
  • Not be a resident of, or subject to the laws of, any jurisdiction where use of our services would be prohibited or restricted
  • Not be listed on OSFI's Consolidated Canadian Autonomous Sanctions List, OFAC's SDN List, or any applicable UN sanctions list
  • Not have been previously banned or suspended from using Djooky Finance services
  • Be able to successfully complete our identity verification (KYC) process as required by FINTRAC regulations

We reserve the right to decline service to any individual or entity at our sole discretion, including where we are unable to verify identity, where we assess elevated regulatory risk, or where applicable law requires us to do so.

Section 3

Account Registration & Security

Registration

To access most services, you must register for an account by providing accurate, current, and complete information. You agree to update your information promptly if it changes. Providing false or misleading information is a breach of these Terms and may constitute a criminal offence under Canadian law.

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials and private keys
  • All activity that occurs under your account
  • Enabling and maintaining two-factor authentication (2FA) when required
  • Notifying us immediately of any unauthorized access or suspected breach at your account

Djooky Finance will never ask you for your password or private keys via email, phone, or any unsolicited communication. We are not liable for any losses arising from your failure to maintain account security.

One Account Per Person

Each individual or business entity may maintain only one account. Creating multiple accounts to circumvent limits, KYC requirements, or restrictions is prohibited and may result in permanent suspension of all associated accounts.

Section 4

Services Offered

Djooky Finance provides the following services, subject to these Terms and applicable law:

Crypto On-Ramp (Fiat to Crypto)

Purchase of supported digital assets using Canadian dollars via bank transfer, Interac e-Transfer, or wire. Transaction limits, processing times, and available assets may vary. All purchases are final and non-refundable once executed.

Crypto Off-Ramp (Crypto to Fiat)

Conversion of supported digital assets to Canadian dollars with withdrawal to a verified Canadian bank account. Funds may be subject to holding periods for compliance review. We are not responsible for delays caused by your financial institution.

Custodial Wallet Services

We hold digital assets on your behalf in custodial wallets. You retain beneficial ownership of your assets but we hold the private keys. Our custody services are subject to our security standards but we do not guarantee against losses arising from unforeseen events including protocol failures, network attacks, or force majeure events.

Virtual Currency Exchange

Exchange between supported cryptocurrency pairs at rates displayed at the time of execution. Prices are live market rates and are not guaranteed until a transaction is confirmed. Slippage may occur in volatile markets.

Fund Remittance & Transfer

Domestic and international fund transfer services. Transfer limits and supported corridors are subject to change. Cross-border transfers may be subject to additional regulatory requirements in the recipient country.

Business & API Services

Access to our on/off ramp and payment APIs for businesses is subject to a separate Business Services Agreement in addition to these Terms.

Section 5

Fees & Charges

By using our services, you agree to pay all applicable fees as set out in our current fee schedule, which is displayed on our platform and may be updated from time to time.

General Fee Principles

  • Transaction fees are deducted at the time of execution and displayed before you confirm a transaction
  • Spread (difference between buy and sell price) is embedded in exchange rates
  • Network fees (gas fees, miner fees) for blockchain transactions are charged at cost and may vary
  • Withdrawal fees to bank accounts are displayed at the time of withdrawal initiation
  • There are no hidden fees — all charges are disclosed before confirmation

Tax Obligations

You are solely responsible for determining and fulfilling your tax obligations arising from the use of our services. Cryptocurrency transactions may be taxable events under the Income Tax Act (Canada) and CRA guidelines. Djooky Finance does not provide tax advice. We will provide transaction records to support your tax reporting upon request and as required by law.

CRA Notice: The Canada Revenue Agency (CRA) treats cryptocurrency as a commodity. Gains from buying and selling crypto may be subject to capital gains tax or business income tax. Consult a qualified tax professional regarding your specific situation.

Section 6

Prohibited Activities

You agree not to use Djooky Finance services for any of the following purposes. Violation may result in immediate account termination and referral to law enforcement.

Financial Crime

  • Money laundering, terrorist financing, or any activity prohibited under the PCMLTFA
  • Structuring transactions to avoid reporting thresholds (smurfing)
  • Using our services on behalf of a sanctioned individual or entity
  • Fraud, identity theft, or misrepresentation
  • Proceeds of crime of any kind

Platform Abuse

  • Creating multiple accounts or using false identities
  • Circumventing transaction limits, KYC requirements, or access restrictions
  • Accessing our systems through automated means without authorization (scraping, bots)
  • Attempting to hack, disrupt, or interfere with our platform or infrastructure
  • Reverse engineering our software, APIs, or proprietary systems

Prohibited Transactions

  • Transactions involving darknet markets or their proceeds
  • Purchasing illegal goods or services
  • Ransomware payments or extortion-related transfers
  • Transactions involving mixer or tumbler services designed to obscure fund origins
  • Transactions from or to jurisdictions subject to comprehensive Canadian sanctions
Section 7

Risk Disclosure

Cryptocurrency investments involve substantial risk of loss. The value of digital assets can decrease to zero. You should not invest funds you cannot afford to lose entirely.

Market Risk

Digital asset prices are highly volatile and can change dramatically in short periods. Past performance does not guarantee future results. We do not provide investment advice and nothing on our platform constitutes a recommendation to buy, sell, or hold any asset.

Technology Risk

Blockchain networks may experience congestion, forks, protocol failures, or attacks that affect your ability to transact or the value of your assets. Smart contract vulnerabilities may result in total loss of funds. We do not guarantee the performance or security of third-party blockchain networks.

Regulatory Risk

The regulatory environment for digital assets is evolving rapidly. Future regulatory changes in Canada or internationally may restrict or prohibit our services, affect asset values, or impose additional requirements on users.

Custody Risk

While we implement industry-leading security measures, custodial wallets are not insured by CDIC (Canada Deposit Insurance Corporation) or any equivalent government scheme. In the event of insolvency, digital assets held in custody may not be fully recoverable.

Liquidity Risk

Some assets may have limited liquidity, meaning you may not be able to sell or convert them at your desired price or timing.

Section 8

KYC & Regulatory Compliance

As a FINTRAC-registered MSB, we are legally required to verify the identity of our clients and monitor transactions. By using our services, you agree to:

  • Provide accurate identity documents and information when requested
  • Submit to enhanced due diligence procedures if required by our compliance team
  • Provide source of funds documentation for large or unusual transactions
  • Allow us to retain your personal and transaction information for periods required by law
  • Accept that we may freeze, delay, or decline any transaction where required by law or our compliance program
  • Accept that we are required to report certain transactions to FINTRAC without notifying you

Failure to cooperate with KYC or compliance requests will result in suspension or termination of your account and may result in funds being frozen pending regulatory guidance.

Section 9

Intellectual Property

All content, software, trademarks, logos, and materials on our platform are owned by or licensed to Djooky Finance Limited and are protected by Canadian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use our platform solely for your personal or business use in accordance with these Terms.

You may not reproduce, distribute, modify, create derivative works from, publicly display, or exploit any content from our platform without our prior written consent. The Djooky Finance name, logo, and all related marks are trademarks of Djooky Finance Limited.

Section 10

Limitation of Liability

To the maximum extent permitted by applicable law:

  • Djooky Finance is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill
  • Our total liability to you for any claim arising from these Terms or the use of our services shall not exceed the fees you paid to us in the three (3) months preceding the event giving rise to the claim
  • We are not liable for losses arising from market volatility, blockchain network failures, regulatory actions, force majeure events, or your failure to secure your account
  • We are not liable for the actions or failures of third-party service providers, banking partners, or blockchain networks

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Canadian law, including liability for fraud, gross negligence, or death or personal injury caused by our negligence.

Section 11

Indemnification

You agree to indemnify, defend, and hold harmless Djooky Finance Limited and its directors, officers, employees, agents, and successors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of our services in violation of these Terms
  • Your violation of any applicable law or regulation, including the PCMLTFA
  • Your infringement of any third-party rights
  • Any false or misleading information you have provided to us
  • Any unauthorized use of your account
Section 12

Suspension & Termination

By You

You may close your account at any time by contacting us, provided there are no pending transactions, outstanding balances, or compliance holds. Upon account closure, you may withdraw your remaining funds subject to our standard verification procedures.

By Djooky Finance

We may suspend or terminate your account immediately and without notice if:

  • We reasonably suspect you have violated these Terms or applicable law
  • We are required to do so by a court order, regulatory authority, or law enforcement
  • We are unable to verify your identity or detect unusual activity suggesting fraud
  • Your account poses an unacceptable regulatory, legal, or reputational risk to us
  • We discontinue a particular service or cease operations

Effect of Termination

Upon termination, your right to access our platform ceases immediately. We will return any remaining digital assets or fiat balances to you after completing any required compliance review, which may take up to 90 days. We are entitled to retain records as required by law even after account closure.

Section 13

Disputes & Governing Law

Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Dispute Resolution

In the event of a dispute, you agree to first contact us to attempt informal resolution. Most disputes can be resolved quickly by contacting our support team. If informal resolution fails within 30 days, the dispute shall be submitted to binding arbitration administered under the Arbitration Act (British Columbia) before a single arbitrator in Vancouver, British Columbia.

Class Action Waiver

To the extent permitted by law, you waive any right to participate in a class action lawsuit or class-wide arbitration against Djooky Finance.

Jurisdiction for Non-Arbitrable Claims

For any claims not subject to arbitration, you consent to the exclusive jurisdiction of the courts of British Columbia, Canada.

Cookie Policy

Our website uses cookies and similar tracking technologies. By using our platform, you consent to our use of cookies as described in our Privacy Policy (Section 8).

Essential Cookies

Required for platform security, session management, and fraud prevention. Cannot be disabled without impairing platform functionality.

Analytics Cookies

Help us understand how users interact with our platform so we can improve the experience. Data is aggregated and anonymized where possible. You may opt out via your browser settings.

Marketing Cookies

Used only with your explicit consent to deliver relevant advertising. You may withdraw consent at any time by updating your preferences in your account settings or contacting us.

Managing Cookies

You can control cookies through your browser settings. Note that disabling essential cookies will affect the functionality and security of your account. For more information on managing cookies, visit allaboutcookies.org.

Section 15

Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via:

  • Email notification to your registered email address at least 14 days before the changes take effect
  • A prominent notice on our platform
  • An updated "Last Updated" date at the top of this document

Your continued use of our services after the effective date of any change constitutes your acceptance. If you do not agree to the revised Terms, you must close your account before the effective date.
